Not too bad.
Uh correction very very bad since in some levels you shoot hoards of zombies.
Strong gore, frequent bloody violence.
Blood and gore are everywhere when you shoot hordes of zombies using machine guns, pistols, and shotguns.
Blood splatters and pools.
Shooting zombies in different locations does different things.
A shot to the head is over the top, exploding the zombie skull and its contents in many directions.
Zombies can have their heads blown off, their arms shot away, their legs destroyed (reducing them to crawling) and, by picking up a certain powerup, this can occur in slow-motion too.
During one level, zombies can be seen feeding a human into a meat-grinder.
After being slashed a number of times by zombies, a narrator mockingly says, "You are dead."

There is a mode in the PlayStation 3 version that deliberately censors all profanity by default, but allows the player to shoot the words to reinstate them in dialogue. This doesn't affect any swearing in gameplay.
The M rating is pretty much insulted with tons of profanity.

The gore may offend those who can't contextualise it and some scenes.
Regardless of their humorous value, could be seen as "just wrong".
Regardless of this, Overkill is undoubtably a comedy, not a horror.
